01Acceptance of Terms

By signing up, purchasing a subscription, or activating a license key, you confirm that you have read, understood and agree to these Terms, our Privacy Policy, and our Refund Policy. If you do not agree, you must not use the Services.

You must be at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or the entity you represent.

02The Services

EmiFence provides an EMI Locker platform that enables financial institutions, NBFCs, fintech companies and service providers to:

• Manage EMI-based transactions and repayment schedules
• Automate auto-debit collections via NACH, eMandate and UPI Autopay
• Lock and unlock financed devices in line with repayment status
• Monitor risk and reduce defaults across a loan portfolio
• Generate reports, dashboards and audit-grade activity logs

We may modify, suspend or discontinue any part of the Services at any time, with reasonable notice for material changes.

03Account Registration & Security

• You must provide accurate, complete and current information when registering
• You are responsible for safeguarding your login credentials and license keys
• You agree to notify us immediately of any unauthorized access or security breach
• You are responsible for all activity that occurs under your account

04License Keys & Access

EmiFence may be activated via a license key purchased through our website, sales team or authorized resellers. Each license key is:

• Non-transferable — keys are bound to the registered organization
• Single-use — keys cannot be activated on multiple unrelated accounts
• Subject to subscription tier — usage limits (active EMIs, users, API calls) apply per the plan purchased

05Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation or third-party right
• Engage in fraudulent lending, predatory collection practices or harassment of borrowers
• Reverse engineer, decompile, or attempt to extract source code from any part of the platform
• Resell, sublicense or commercially exploit access to the Services without written permission
• Upload malicious code, attempt to disrupt our infrastructure, or probe for security vulnerabilities without authorization
• Misuse the EMI Locker functionality to lock devices not financed by you, or to coerce borrowers in violation of RBI Fair Practices Code

06Subscription, Fees & Payment

• Subscription fees are billed in advance, monthly or annually as elected
• All fees are exclusive of applicable taxes (GST), which will be added at the prevailing rate
• Failure to pay may result in suspension or termination of access
• We reserve the right to revise pricing with at least 30 days' prior notice

07Intellectual Property

All content, software, designs, logos, trademarks and documentation comprising the Services are owned by Tech Fusioncodes Technologies Pvt Ltd or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Services solely as permitted under these Terms.

You retain ownership of all data you upload into the Services ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the Services to you.

08Data Protection

Our handling of personal data is described in our Privacy Policy. You are responsible for ensuring that you have the lawful basis (consent, contract, etc.) to share borrower data with EmiFence, and that your use of the Services complies with applicable data protection laws including the DPDP Act, 2023.

09Service Availability & Support

We aim for 99.9% uptime but do not guarantee uninterrupted availability. Planned maintenance windows will be communicated in advance. Support response times are tied to your subscription tier as published on our pricing page.

10Termination

You may cancel your subscription at any time from the account settings. We may suspend or terminate your access if:

• You materially breach these Terms
• You fail to pay applicable fees
• Your use violates law or poses a risk to our infrastructure or other customers
• Required to comply with legal or regulatory obligations

Upon termination, your right to use the Services ceases immediately. We will retain or delete Customer Data in accordance with our Privacy Policy and applicable law.

11Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be error-free, uninterrupted, or that all defects will be corrected.

EmiFence is a software platform; we are not a lender, NBFC, payment system operator or financial institution. The Customer remains solely responsible for all lending decisions, regulatory compliance and customer-facing communications.

12Limitation of Liability

To the maximum extent permitted by law, EmiFence's total liability arising out of or relating to these Terms or the Services shall not exceed the fees paid by you to us in the 12 months immediately preceding the claim. We shall not be liable for any indirect, incidental, consequential, punitive or special damages, including loss of profits, data or business opportunities.

13Indemnity

You agree to indemnify and hold harmless EmiFence, its directors, employees and affiliates from any claims, damages, liabilities or expenses arising out of (a) your use of the Services in breach of these Terms; (b) your violation of any law or third-party right; or (c) the data you upload to the Services.

14Governing Law & Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict of laws principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Lucknow, Uttar Pradesh.

Before initiating any legal proceedings, the parties agree to attempt resolution in good faith via written notice and a 30-day cooling-off period.

15Modifications

We may amend these Terms from time to time. Material changes will be notified by email or through an in-app notice at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
